Limited vs. Unlimited Liability Company Structures Explained

There are two main forms when setting up a company in Hong Kong, namelyLimited Liability Company (LLC)andUnlimited CompanyThe two have different legal structures and liability methods.

Limited Liability Company (LLC)

A Limited Company is a form of company with independent legal status, capable of assuming legal liabilities and debts independently. Shareholders' liability is limited to their capital contribution, and personal assets are generally not affected by business risks. This structure helps enhance the corporate professional image and is more suitable for long-term development, external cooperation, and business expansion.

Unlimited Company

An Unlimited Company usually refers to a sole proprietorship or partnership business form, which does not have independent legal status. Company debts and legal liabilities are borne by the operator or partners personally with unlimited liability, and personal assets may be claimed for company debts. This form has a simpler setup procedure and lower cost, suitable for small-scale or short-term businesses.

Hong Kong company names must not be duplicated or similar to existing company names, nor contain misleading, illegal, or offensive words; the use of regulated words such as "bank" or "insurance" requires prior approval. Company names may be in Chinese, English, or both, but not a mixture of Chinese and English.

If the proposed company name is the same as an existing company name in the Companies Registry records, the name will not be approved for use.

Same as Statutory Body Names

If the proposed company name is the same as the name of any statutory body or any corporate body established under an ordinance, the name will be rejected for registration.

Name May Be Connected to Criminal Activities

If the Companies Registry considers that the proposed company name may be connected with criminal activities, the name will not be approved for registration.

Name Is Offensive or Contrary to Public Interest

If the proposed company name is considered offensive, inappropriate, misleading, or contrary to public interest, the name will not be approved for registration.

Special Circumstances and Exemptions

In certain circumstances, some companies may be exempt from the restrictions on duplicate company names, such as companies registered under relevant ordinances, non-Hong Kong companies previously registered in Hong Kong, or companies using legally approved names.
